SUMMARY

Under the direction of an attorney, the Paralegal provides support for the corporate governance and employment law teams of the Advance Auto Parts legal department. This role will help assist with day-to-day corporate governance and employment matters.  The detail-oriented person filling this position will be adept at maneuvering through large, multi-functional and complex organizations and will demonstrate the ability to foster a positive working relationship with his/her peers, corporate attorneys, outside counsel and internal business partners.

ESSENTIAL DUTIES AND RESPONSIBILITIES include the following. Other duties may be assigned.

  • Provide routine paralegal support to company attorneys involved in both corporate governance and labor and employment-related legal matters.
  • Conduct necessary legal and/or business research and provide timely, clearly written and relevant information in response to legal inquiries.
  • Prepare draft and final corporate documents, such as board and shareholder resolutions, meeting minutes and state D/B/A filings, and review accuracy of state annual report filings for subsidiaries.
  • Maintain corporate minute books for parent and subsidiary companies and maintain corporate organizational chart and provide support for preparation of annual proxy statement for printing and filing with the US.S. Securities Exchange Commission.
  • Assist in electronic discovery process.
  • Track and manage legal matters and their related expenses in the legal billing system.  Recognize and report on trends and problem areas; recommend courses of action to promote efficiency and cost-effective measures.
  • Serve as initial contact with business partners on employment litigation and administrative matters to gather documents and information necessary to prepare written responses and summarize information gathered.
  • With supervision of assigned, in-house employment attorney, conduct case-relevant investigations and assist in the preparation of position statements and exhibits in response to administrative charges.
  • Create and update spreadsheet files and reports.
  • Coordinate and arrange meetings and make travel arrangements for attorneys.
  • Create and maintain filing systems.
  • Other duties as assigned, such as assisting supervising attorneys with workflow submitted for review by business partners; maintaining content on the share drive and generating and distributing reports as requested.

  • Excellent verbal and written communication skills required.  Ability to read, analyze and interpret complex legal and business documents.  Ability to respond discreetly and effectively to the most sensitive inquiries or complaints.
  • Ability to work independently and initiate and coordinate projects.
  • Extremely organized with a strong attention to detail and a sense of priority, urgency and commitment to deadlines.
  • Ability to manage a heavy workload and prioritize multiple projects.
  • Ability to understand general business operations, issues and dynamics beyond the scope of basic legal issues and to communicate effectively with members of other departments.
  • Strong computer skills, including proficiency with Microsoft Office products (Outlook, Word, SharePoint, PowerPoint & Excel).
  • Experience with employment and/or corporate governance.
  • Experience with document retention procedures is a plus.
  • Experience with Workday and/or Legal Tracker (Serengeti) is a plus.
  • Ability to add, subtract, multiply, and divide in all units of measure, using whole numbers, common fractions, and decimals.  Ability to compute rate, ratio and percent and to draw and interpret bar graphs. Ability to understand and analyze budget/P&L statements and manage fees/expenses on a proactive basis.
  • High level of reasoning ability required.  Ability to define problems, collect and analyze complex data and conflicting viewpoints, establish facts and draw valid conclusions, as well as make strategic decisions and persuasive arguments.  Ability to deal with a variety of abstract and concrete variables.
  • This position requires occasional overnight travel

EDUCATION and/or EXPERIENCE

Bachelor’s degree and 3-5 years of experience or Paralegal Certificate and 3-5 years of experience; or equivalent combination of education and experience.

Paralegal Certification preferred.
