Responsibilities:

  • Negotiate, analyze, prepare, revise and execute 3rd party vendor contracts which includes master service agreements, terms and conditions, non-disclosure agreements, statements of work and termination agreements
  • Leads complex contract negotiations and manages all changes in, and addendums, to existing contracts.
  • Ensure contract terms and conditions are negotiated in the best interest of the company to mitigate business risk, maximize financial objectives and comply with laws and regulations
  • Provided legal and financial counsel to internal client teams: Procurement Human Resources, Marketing, IT, Real Estate and Business Development teams.
  • Provide contract-related issue resolution, both internally and externally
  • Manage record keeping for all contract-related correspondence and documentation
  • Ensure all contracts are executed in accordance with corporate guidelines
  • Conducts analysis of new laws, regulations and contract trends to determine potential impact on the business.
  • Vet all the agreements like share escrow, cash escrow, indemnity and monetary agency agreements.
  • In-charge of all the procurement agreements and renewal of all the mandatory statutory licenses of new and existing outlets, categorizing their risk factors and furnishing all the government requirements in obtaining the same.
  • Evaluate and implement new processes, informing cross-functional departments regarding updated requirements, and developing new business procedures to enforce compliance, data privacy, and any other internal or industry requirements.
  • Manage escalations to the Legal department
  • Identifies potential improvements to existing policies.
  • Prepares reports on the status of contracts for management.
  • Conducts special projects as assigned.
  • Negotiates and oversees leasing agreements.

Education Requirements:

Bachelor’s Degree required, Legal degree preferred

  • Minimum of five years in drafting, reviewing and negotiating contract wording.
  • Microsoft office experience
  • Must have experience reviewing NDAs and indemnification language
  • IT SaaS agreement experience would be a plus
  • Needs to have experience with reviewing contracts and understanding language of contracts
  • Excellent verbal and written communication skills
  • Detail oriented
